Terms of Service – Sapper Project Cleaner

These Terms of Service (“Terms”) govern your use of Sapper Project Cleaner (“the App,” “Service,” “we,” “our,” “us”), an Atlassian Forge application available on the Atlassian Marketplace.

By installing or using the App, you (“Customer,” “you,” “your”) agree to be bound by these Terms. If you do not agree, do not install or use the App.

1. Definitions

App: Sapper Project Cleaner Forge application

Customer: The organization or individual who installs and uses the App

Administrator: Jira administrator with permissions to install and configure the App

End Users: Individuals within Customer’s organization who access Jira

Atlassian Services: Jira Cloud and related Atlassian products

Atlassian Marketplace: The platform where the App is distributed

Vendor: Softwired, the company providing the App

2. License Grant

2.1 License Scope

Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to:

• Install the App in your Jira Cloud instance(s)

• Use the App for archiving inactive Jira projects

• Configure scheduled cleanup automation

• Access app metrics and reporting features

2.2 License Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the App

• Modify, adapt, or create derivative works based on the App

• Rent, lease, sublicense, or distribute the App to third parties

• Use the App for illegal, fraudulent, or malicious purposes

• Circumvent usage limits or technical restrictions

• Share your license with unauthorized parties

2.3 License Types

Trial License:

– Free evaluation period (as specified in Marketplace listing)

– Limited to manual cleanup only (10-project batch limit)

– Scheduled cleanup disabled

– Automatically expires after trial period

Paid License:

– Unlimited manual cleanup

– Scheduled automatic cleanup enabled

– Based on user tiers (pricing set in Atlassian Marketplace)

– Billed monthly or annually via Atlassian

Expired License:

– All features disabled

– Data preserved but inaccessible until renewal

– Renewed licenses restore full functionality

3. Subscription and Billing

3.1 Fees

• Subscription fees are determined by user tier (set in Atlassian Marketplace)

• Billing handled exclusively by Atlassian

• Prices may change with 30 days’ notice via Marketplace listing

3.2 Payment Terms

• Payment due per Atlassian Marketplace terms

• Subscriptions renew automatically unless cancelled

• Refunds subject to Atlassian Marketplace refund policy
3.3 Trial Period

• Trial period as specified in Marketplace listing (typically 30 days)

• Trial converts to paid subscription automatically unless cancelled

• Trial limitations apply (10-project limit, no scheduled cleanup)

3.4 Cancellation

• Cancel anytime via Atlassian Marketplace

• No refunds for partial billing periods

• App access terminates at end of billing period

• Data deleted upon app uninstallation

4. Customer Responsibilities

4.1 Authorized Use

You are responsible for:

• Ensuring Administrators have proper authority to install and configure the App

• Obtaining necessary permissions from End Users (if required)

• Complying with your organization’s data governance policies

• Archiving projects only when appropriate and authorized

• Communicating archival actions to affected users

4.2 Account Security

You must:

• Maintain the security of your Jira instance

• Restrict Administrator access to authorized personnel

• Notify us immediately of any unauthorized access

• Use the App in compliance with Atlassian’s Terms of Service

4.3 Compliance

You agree to:

• Use the App in compliance with applicable laws

• Respect intellectual property rights

• Not use the App for illegal or harmful purposes

• Comply with data protection laws (GDPR, CCPA, etc.)

5. Our Responsibilities

5.1 Service Availability

We will:

• Use commercially reasonable efforts to maintain App availability

• Provide updates and security patches

• Notify customers of major service disruptions

Service Level: The App is provided “as-is” and dependent on Atlassian Forge infrastructure.

5.2 Support

We provide:

• Documentation (README,  Marketplace listing)

• Email support at help@softwired.com.au

• GitHub issue tracking for bug reports

• Response within 7 business days

Support Limitations:

– No phone support

– No 24/7 support

– Best-effort for free users

– Priority for paid customers

5.3 Updates and Maintenance

We may:

• Update the App with new features and fixes

• Perform maintenance (with notice when possible)

• Discontinue features with 90 days’ notice

6. Data and Privacy

6.1 Data Ownership

You retain all ownership rights to your data.

6.2 Data Processing

By using the App, you authorize us to access project metadata, store configuration and metrics, and process data per our Privacy Policy.

6.3 Data Security

We implement reasonable security measures but cannot guarantee absolute protection.

6.4 Data Deletion

Upon uninstallation, all stored App data is deleted. Archived Jira projects remain archived.

7. Intellectual Property

7.1 Ownership

The App and all related IP rights belong to Softwired. These Terms do not grant rights to source code, trademarks, or proprietary algorithms.

7.2 Feedback

Any feedback you provide may be used freely and without compensation.

8. Warranties and Disclaimers

8.1 Limited Warranty

We warrant that the App will perform substantially as described when used as intended.

8.2 Disclaimer of Warranties

The App is provided “as-is” without warranties. We disclaim all implied warranties, including merchantability and fitness for a particular purpose.

User Responsibility: Always verify archival actions before confirming.

9. Limitation of Liability

9.1 Exclusion of Damages

We are not liable for indirect, incidental, or consequential damages, loss of data, or third-party service issues.

9.2 Cap on Liability

Our total liability will not exceed the amount paid for the App in the preceding 12 months.

9.3 Essential Purpose

These limitations apply even if a remedy fails its essential purpose.

9.4 Exceptions

Some jurisdictions do not allow these limits; in such cases, we follow local law.

10. Indemnification

You agree to indemnify Softwired and its agents against claims arising from your use, violations, or unauthorized actions.

11. Term and Termination

11.1 Term

These Terms apply while the App is installed.

11.2 Termination by Customer

You may uninstall the App or cancel your subscription. Data will be deleted upon uninstallation.

11.3 Termination by Us

We may terminate access for violations, delinquent accounts, or legal reasons.

11.4 Effect of Termination

Upon termination, your license ends immediately. Archived projects remain archived.

12. Modifications to Terms

We may update these Terms by posting a revised version with a new date. Continued use constitutes acceptance.

13. Modifications to the App

We may add, change, or remove features, or discontinue the App with notice.

14. Third-Party Services

The App depends on Atlassian Forge and Jira Cloud. Atlassian is not a party to these Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Queensland, Australia. Disputes will be resolved in its courts.

16. General Provisions

These Terms and our Privacy Policy form the full agreement. If any provision is invalid, others remain effective.

18. Acknowledgment

By installing or using the App, you acknowledge that you have read, understood, and agreed to these Terms and the Privacy Policy.
